WZÓR UMOWY 0 SPRZEDAŻ PRAW

Umowa ta dotyczy sprzedaży zagranicznemu wydawcy praw do tłumaczenia polskiego
utworu, przy czym produkcją książki ma się zająć licencjobiorca.

MEMORANDUM OF AGREEMENT

made this x day of [month] 199x, between:

[name and address of foreign publisher]

(hereinafter termed the Publishers) on behalf of themselves, their successors
in business and assignees, of the one part, and

[name and address of Polish publisher]

(hereinafter termed the Proprietors) of the other part, whereas the Proprietors
are the proprietors of a work by

[name of author]

(hereinafter termed the Author), entitled:

[title of book] x Edition

(hereinafter termed the Work).

NOW IT IS HEREBY MUTUALLY AGREED AS FOLLOWS:

1. Subject to the terms detailed in this Agreement, the Proprietors hereby grant
to the Publishers the exclusive licence to translate, produce and publish the
Work in the [language to be agreed] (hereinafter termed the Translation) for sale
in [territory] only/throughout the world.

2. The Publishers shall make the following payments to the Proprietors in accordance
with the terms of Clause 14 hereof:

The sum of x in advance and on account of all sums which may become due to the
Proprietors under this Agreement, which sum shall be payable as follows:

 (i) the sum of x shall be payable to the Proprietors on signature of this  Agreement,
and payment of such sum shall be a condition of this Agreement  coming into effect;

 (ii) the sum of x shall be payable to the Proprietors on publication of  the
Translation.

The said payments are not recoverable in the event of any default by the Publishers
in carrying out the terms of this Agreement.

UMOWA zawarta dnia … 199. roku

pomiędzy:

[nazwa i adres zagranicznego wydawcy]

zwanym dalej Wydawcą, w imieniu własnym, jego następców i cesjonariuszy, z jednej
strony, oraz

[nazwa i adres polskiego wydawcy]

zwanym dalej Właścicielem, z drugiej strony, gdzie Właściciel jest właścicielem
dzieła [nazwisko autora] zatytułowanego:

[tytuł książki] wydanie …

zwanego dalej Dziełem.

NINIEJSZYM STRONY ZGODNIE USTALAJĄ, CO NASTĘPUJE:

1. Właściciel przyznaje niniejszym Wydawcy, na warunkach określonych w tej Umowie,
wyłączną licencję na przekład, produkcję i publikację Dzieła w języku … (które
to wydanie będzie zwane dalej Tłumaczeniem), przeznaczonego do sprzedaży tylko
w [obszar]/na całym świecie.

2. Wydawca dokona na rzecz Właściciela zgodnie z zapisami artykułu 14 tej Umowy
następujących płatności:

(a) Kwota … zostanie zapłacona z chwilą podpisania tej Umowy, jako zaliczka
i na poczet wszelkich sum, które mogą stać się należne Właścicielowi na mocy tej
Umowy. Kwota ta będzie płatna jak następuje:

(i) kwota … zostanie zapłacona Właścicielowi z chwilą podpisania tej   Umowy,
a jej zapłacenie będzie warunkiem nabrania mocy przez tę Umowę,

(ii) kwota … zostanie zapłacona Właścicielowi z chwilą opublikowania Tłumaczenia.

Rzeczone płatności przepadają w przypadku jakiegokolwiek naruszenia przez Wydawcę
postanowień tej Umowy.

(b) On the [country agreed] published price of any hardback edition of the Translation
issued by the Publishers:

(i) a royalty of x per cent on the first x thousand copies sold;

(ii)a royalty of x per cent on all copies sold after the first xthousand.

(c) On the [country agreed] published price of any paperback edition of the Translation
issued by the Publishers:

(i) a royalty of x per cent on the first x thousand copies sold;

(ii) a royalty of x per cent on all copies sold after the first x  thousand.

(d) Should it be desirable in the opinion of the Publishers to sell copies of
the Translation at a discount of x per cent or more of the [country agreed] published
price, the current royalties on such sales shall be calculated on the sum received
by the Publishers from such sales, instead of on the [country agreed] published
price of the Translation.

(e) Where a separate agreement is made for publication of the Translation overseas
under which copies are to be supplied bound or in sheet form on a royalty inclusive
basis, the current royalties on such sales shall be calculated on the sum received
by the Publishers.
